Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Impact in Business Recruitment website ("Site"). By using the Site you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility and accounts

To access certain sections of the Site you must register for an account and be authenticated. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

3. Use of the Site

The Site and its content are provided for informational and recruitment-related purposes. You must not misuse the Site, interfere with its operation, attempt to access restricted content without authorization, or use the Site for unlawful purposes.

3A. Prohibited Conduct

You expressly agree not to:

• Access, use, or attempt to access the Site or its systems through any automated means (bots, scrapers, crawlers) without written permission.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying functionality of the Site.
• Transmit malware, viruses, worms, or any code of a destructive nature.
• Attempt to gain unauthorized access to restricted areas, bypass security measures, or exploit vulnerabilities.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Site or its content.
• Use the Site for any competitive analysis, benchmarking, or to develop competing products or services.
• Harass, threaten, defame, or discriminate against any person or entity through the Site.
• Collect, harvest, or process personal data of other users without consent.
• Spam, send unsolicited communications, or conduct phishing or social engineering attacks.
• Resell, redistribute, or commercially exploit access to the Site or its content.

Violation of these prohibitions may result in immediate termination of access and legal action.

4. Payments and subscriptions

You authorize us to charge your payment method for all fees and charges incurred. Recurring subscriptions will auto-renew unless cancelled in writing. Refund requests must be made within 14 days of charge. We reserve the right to suspend or terminate services for non-payment without liability.

5. Intellectual property

All content on the Site including text, graphics, logos and software is owned by or licensed to Impact in Business Recruitment and is protected by intellectual property laws. You may view and download content for your personal, non-commercial use only. Any other use requires our prior written permission.

You may not copy, modify, adapt, translate, reverse engineer, or create derivative works from the Site or its content. All rights not expressly granted herein are reserved. Unauthorized use constitutes copyright infringement and may result in civil and criminal liability.

6. User content

If you submit content to the Site (comments, messages, uploads), you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and display that content in connection with the Site. You are responsible for ensuring you have rights to any content you submit and that it does not violate these Terms.

You represent and warrant that any content you submit does not infringe third-party rights, is not defamatory, and complies with all applicable laws. You indemnify and hold harmless Impact in Business Recruitment from any claims arising from your content.

7. Privacy

We process personal data in accordance with our Privacy Policy. By using the Site you agree to the collection and use of your information as described in the Privacy Policy.

8. Disclaimers

The Site is provided "as is" and we make no warranties, express or implied, about the accuracy, completeness or fitness for purpose of the content. To the fullest extent permitted by law, we disclaim all warranties.

We disclaim warranty for merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment. We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses. Your use is at your sole risk.

Third-party content, links, and services are provided without endorsement or warranty. We are not responsible for any loss or damage resulting from your reliance on third-party materials or services linked from the Site.

9. Limitation of liability

To the maximum extent permitted by law, our liability to you for any loss or damage arising from your use of the Site is limited to direct losses and capped at the total amount paid by you (if any) in the prior 12 months. We are not liable for indirect, consequential or punitive damages.

In no event shall we be liable for loss of profit, revenue, data, use, goodwill, or other indirect or consequential damages, even if advised of the possibility thereof. Some jurisdictions do not permit limitation of liability; to the extent permitted, these limitations apply to the fullest extent.

This limitation applies to all claims, whether in contract, tort (including negligence), statute, or any other legal theory, and survives any breach of essential terms or failure of essential purpose of any limited remedy.

10. Termination and suspension

We may suspend or terminate your access to the Site for breach of these Terms or for security reasons. Termination does not affect rights or liabilities that have already accrued.

We may terminate without notice if you breach any material term or engage in conduct we deem harmful. Upon termination, your right to use the Site ceases immediately. You remain liable for all charges and obligations incurred prior to termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless Impact in Business Recruitment, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, judgments, awards, losses, expenses, or costs of any kind, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or your use of the Site, including, without limitation, any user content submitted by you.

12. Changes to these Terms

We may update these Terms from time to time. If changes are material we will provide notice. Continued use after changes indicates your acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Impact in Business Recruitment operates. Any disputes will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

Before initiating legal proceedings, you agree to attempt resolution through good-faith negotiation. If unresolved within 30 days, either party may pursue formal legal action. By using the Site, you waive any right to a jury trial and agree to arbitration where applicable.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Impact in Business Recruitment regarding your use of the Site, superseding any prior agreements.
